再说，帮你们找客户赚佣金，也不用签什么经纪人合同，他有客户谈生意，谈好了再找你们，你们赚到钱就给他佣金，一票一结账。
就算签合同也是针对当前谈的生意而签。

BROKER AGREEMENT
This document (the “Agreement”) contains the terms and conditions for the services provided both now
and in the future by Origin Commodities (the “Broker”) and you, the Customer. The Agreement
constitute a legally binding contract between the Broker and the Customer.
1. “Customer” shall mean _________________________________________ for which Origin
Commodities, is rendering service, as well as its agents and/or representatives including, but not
limited to, shippers, importers, exporters, carriers, secured parties, warehousemen, buyers and/or
sellers, shipper’s agents, insurers and underwriters, break-bulk agents, consignees, etc. It is the
responsibility of the Customer to provide notice and copy(s) of these terms and conditions of service
to all such agents or representatives.
2. In consideration of services performed by Broker, Customer agrees to compensate Broker with a
_____% brokerage fee on all paid invoice orders of the Customer to any business or sale where initial
contacts and/or solicitations were made by Broker. Brokerage fee payments will be remitted
monthly for customer orders paid the previous month.
3. During the term of this Agreement, the Broker shall act as the exclusive broker of the Customer.
Broker agrees to solicit new prospective commercial clients for the Customer, to provide the
Customer with completed application documents for the Customer’s evaluation and possible
acceptance, in accordance with the Customer’s instructions to the Broker, and pursuant to the terms
and provisions of the Agreement.
4. The “Term” of the Agreement shall be five (5) years. The Agreement will become effective upon the
date the Agreement is signed and executed below by the Broker and will continue in force for the
number of full calendar years indicated as the Term of this the agreement, and shall automatically
renew for successive three year periods. If notice of termination is not given, the Agreement will
automatically continue until a new agreement is signed or until the Agreement is terminated by one
of the parties with at least 90 days prior written notice before the end of the initial term. The
“Termination Date” shall be defined as the close of business on the date in which the 90 day notice
expires. The initial five (5) year term of The Agreement cannot be terminated without good cause.
Both parties agree to allow reasonable time to cure any material defects that violate The Agreement.
5. Early termination of this Agreement shall be effective upon 90 days written notice. However,
Customers’ termination of this Agreement before the term described herein shall constitute a breach
hereof and as of the date of execution of this Agreement, the damages that would result from such
breach are uncertain a breach would make it difficult to ascertain the exact amount of damages
Customer would sustain and are not readily ascertainable at this time. It is agreed that the method
of calculating liquidated damages described herein is intended as a reasonable forecast of just
compensation for an early termination. Therefore, in the event of such a breach, Customer shall be
liable to Broker for liquidated damages equal to the average of the gross revenue received by
Customer from Broker under this Agreement in all previous months multiplied by the amount of
remaining months under the term of this Agreement as described in the previous paragraph plus allfees of collection including all reasonable and necessary attorneys fees. In addition, Company
reserves all other rights and remedies as allowed by law.
6. The Broker and Customer agree that this Agreement and terms and the relationship of the parties
shall be construed according to the laws of the State of Texas. Moreover, the parties hereby agree
that the terms and conditions under this Agreement shall be performable in Bexar County, Texas.
Customer and Broker irrevocably consent to the jurisdiction of the United States Western District of
Texas and the State Courts of Bexar County. The Broker and Customer agree that any action relating
to the obligations described herein shall only be brought in said courts; consent to the exercise of in
personal jurisdiction by said courts over it, and further agree that any action to enforce a judgment
may be instituted in any jurisdiction.
