加拿大外贸
有个印度客户,要做我们公司在印度的代理,通过沟通,他们公司的实力也不是特别大,但是我想做下这个客户,请各位大咖给些建议,我该如何弄?下面是这个公司与别家公司签代理用的协议
Agent: ******. (Here in after called “Party B”)
1. ****** will promote parts and products on behalf of party A and generate new business and developed new customers from India.
2. Quotes for all new enquiry and new customer developed from India will be given only to party B.
3. For all Indian customer developed by ******, the Final Price will be quoted by ****** only and not directly by Party A.
4. Party A will not take up or correspond directly /independently with any of the new Indian customer without confirmation from party B
5. Party A will make shipment directly to Indian Customer on receipt of TT/LC based on confirmed order at Price confirmed by Party B.
6. Difference in price quoted by Party A and final Sale Price will be remitted to the account of Party B (*****) in 15 days from execution of order, they payment thru TT/ PayPal / Western union
7. Confirmation of orders:-The quantities, prices and shipment of the commodities stated in this agreement should be confirmed for each transaction, the particulars of which are to be specified in Sales Confirmation signed by the two parties hereto.
8. Advertising & Publicity Expenses:- Party B shall bear all expenses for local advertising and publicity within the aforementioned territory in the duration of this agreement other than Exhibitions
9. Validity of Agreement:-This agreement, after its being signed by the parties concerned shall remain of in force for minimum 2 years from Aug-2018 to July-2020, this is to recover the cost of marketing and sales as Part approval and conversion to production order is longer for big companies.
10. If either party wish to extend this agreement, he shall notice, in writing, the other party one month prior to its expiration, the matter shall be decided by consent of the parties hereto.
11. After the successful acceptance and approval, Party A will mention Name, contact details of Party B in their website, as business representative in India. And party B will mention Party an as strategic partner in their website.
12. Should either party fail to implement the terms and conditions herein, the other party entitled to terminate the Agreement.
This agreement is signed on dtd…………2018 and is in two originals, each party holds one.

签订协议 要分清楚利弊 才签订 不能签霸王条款 不然会亏死的 既然 公司不是很有实力 可以签订短期合作 往后看情况在考虑
