以下几句是一份代理协议中的部分条款， 有些拿不定，中文是自己弄的，请高手帮忙看下，指出错误所在，给个比较专业的中文翻译，感激不尽！！！！！(文中CPSIC为一公司简称）1.Any terms proposed by DISTRIBUTOR in any purchase order or otherwise which add to, vary from or conflict with the terms herein are hereby deemed to be material alterations and notice of objection to them and rejection of them is hereby given.
代理商订单中的提出的条款或另外增加的条款不同于或与本合同条款冲突，这些条款将被视为对本合同的实质性的更改，CPSIC将发出针对这些条款的异议和拒绝通知。
2.CPSIC's exclusive obligation with respect to any nonconforming Product shall be, at CPSIC's option, to repair or replace such Product so that it substantially conforms with its specifications published on the date of the order. The foregoing is the DISTRIBUTOR's and/or the buyer's sole and exclusive remedy for breach of warranty by CPSIC with respect to the product.
CPSIC自行决定是否履行其对不相符产品的专有责任：修复或更换不符规格的产品，使其完全符合订单上要求的规格。这是因CPSIC违反品保条款而给予代理商或/和买家专享的补救措施。
3.DISTRIBUTOR, at CPSIC's request and expense, shall provide CPSIC with any specimens, execute all applications for trademark assignments or similar documents, and shall perform any other similar act reasonably necessary (1) for CPSIC to secure or maintain any and all CPSIC trademark rights in any country, provided that DISTRIBUTOR is marketing the Products in association with such trademarks in such country or (2) to effectuate the lawful right to use product names, designations or trademarks as reasonably required by CPSIC. DISTRIBUTOR agrees to enter into any registered user agreements that CPSIC may require.
在CPSIC要求和负担费用的条件下，为（1）维护CPSIC在代理商国家的商标权益或（2）按CPSIC要求实现使用产品名称，称号或商标的合法权利，代理商应向CPSIC提供相关样本，完成商标转让的所有程序或类似文件，以及履行其他必要的类似法规。
4.DISTRIBUTOR is an independent contractor of CPSIC. DISTRIBUTOR shall have no authority to act for or bind CPSIC in any way or make any representations or warranties on behalf of CPSIC or any of its Products unless expressly so authorized by CPSIC in writing. It is agreed by both parties that this Agreement does not constitute DISTRIBUTOR as the agent of CPSIC for any purpose whatsoever.
代理商是CPSIC的独立合同订约人。除非有CPSIC的书面授，否则权代理商无权代表或约束CPSIC，无权代表CPSIC或其产品做任何品质保证。双方同意本合同并非是设立代理商作为CPSIC任意目的的代理。
5.Except where a party hereto is requesting an injunction to prevent irreparable harm other equitable relief, any dispute, controversy or claim arising out of or relating to this Agreement or the breach, termination, or invalidity of this Agreement shall be finally settled under the Rules of the Chinese Arbitration Association then in force by one or more arbitrators appointed in accordance with said Rules.
除了当事一方请求法院强制性命令以防止无法弥补的损失 衡平法救济外，任何由本合同的失效，终止或违约引发或与之相关的争议，争论或索赔应由中国仲裁委员会按其规则做终局裁决，由依照上述规则任命的一个或多个仲裁员实施仲裁行为。
6.The parties agree that the award of the arbitrator(s): shall be the sole and exclusive remedy between them regarding any claims, counterclaims, issues or accountings presented or pled to the arbitrator(s) shall include the attorney's fees incurred by the prevailing party as determined by the arbitrator(s);
合同双方同意：仲裁员针对索赔，反索赔等的仲裁决议应是独立的和排他性的，仲裁费用包括了由仲裁员认定的胜诉方的律师费用。
that it shall be made and shall promptly be payable in United States dollars free of any tax, deduction of offset; and that any costs, fees or taxes incident to enforcing the award shall, to the maximum extent permitted by law, be charged against the party resisting such enforcement.
仲裁费用在抵扣抵消后应以美元立即支付，免税；任何实施该决议附带的成本费用或课税应在法律允许的最大程度内由不同意该决议一方承担。
The award shall include interest from the date of any damages incurred for breach or other violation of the contract, and from the date of the award until paid in full, at a rate fixed by the arbitrator(s), but in no event less than twelve percent (12%) per annum.
仲裁决议包括因违约而造成损失日起计的仲裁人认可的固定利率利息（不得低于12%的年息），利息计算期限为从决议日起直到完全付清的时间。
7.For award discount which is not applied to the order when the goods are ordered, it can not be refunded and can be only used as deposit for any further orders after target quantity is reached.
未采用奖励性折扣的订单，该折扣不能返还，仅能作为销售目标达成后下次订单的定金。
