Penalties for Seller:Penalties of 2% of the value of the contract per week, or part thereof, shall apply to the late shipment of goods up to a maximum penalty of 10%. The payment of such penalty shall not relieve the Seller from his obligation to deliver the goods.
This Contract further states that should the Seller fail to ship the goods over and above the reasonably acceptable time frame, or any portion thereof, by the shipment date(s) specified in this Contract, or ship the goods which do not comply fully with the terms of the contract, or otherwise commit any breach of this contract, the Buyer may give written notice referring to this sub-clause and stating the default.
If the Seller has not taken all practical steps to remedy the default within 14 days after receipt of the Buyer’s notice, the Buyer may:
By a second notice given within a further 7 days, terminate the contract;
Or
Enforce the terms of the contract and if necessary, sue for specific performance.
The Buyer’s election to exercise any of the foregoing remedies shall be entirely without prejudice to the Buyer’s rights to claim from the Seller any damages, direct or indirect, and howsoever sustained by the Buyer as a consequence of the Seller’s breach and / or the cancellation of the contract.
If either the Seller or the Buyer is declared insolvent under any applicable law, the other party may, by notice, terminate the contract.
