This Agreement is to be construed according to the laws of the country (andstate/province, if applicable) from which this Agreement is issued as shown by the
address of Buyer, excluding any conflict of law provisions that would require application
of another choice of law. Any action or proceedings by Buyer against Seller may be
brought by Buyer in any court(s) having jurisdiction over Seller or, at Buyer!ˉs option, in
the court(s) having jurisdiction over Buyer!ˉs location, in which event Seller consents to
jurisdiction and service of process in accordance with applicable procedures.

该合同将遵循买方签约地（可适用的包括国家，州，）法律。不包括任何与当地法律有冲突而需遵循其他可适用法律的的条款。在卖方同意仲裁且该仲裁机构是按照可适用程序进行的情况下，买方有权提交关于卖方的诉讼到任何买方当地法庭进行裁决。
