大家好,这里有一个问题要请教大家了!我公司与美国一家公司有贸易往来,因为步入到实际操作阶段,要签协议,这两天忙着搞老外的合同。
合同是老外用邮件发过来的,我搞了两个晚上,因为水平有限,所以肯定有很多疏漏的地方,有翻译得不对的地方请大家帮我指出,到时候还要找律师研究是不是对我们有利!
另外,在这个独家代理合同方面,不知道论坛里边有没有专家或有相关经验的,可以给我提供一些好的建议,以便我们在接下来的谈判中有理有力有节。
好处也不能全部让洋鬼子得去了,大家说是不是?

DISITRIBUTION AND SALES COMMISSION AGREEMENT
THIS AGREEMENT formed this ____ day of _____________, 2007 (the “Agreement”), is by and between _____ Industries, Inc, a company organized under the laws of the state of Georgia, USA (the “Distributor”), on its behalf and on behalf of its employees, agents and representatives, and __________________, a company organized under the laws of the Peoples Republic of China (“Company”) on its behalf and on behalf of its employees, agents and representatives.
The Company would like for Distributor to sell and distribute certain of its products and the parties desire to enter into an arrangement whereby Distributor will purchase products from the Company for re-sale in [North America, including the United States, Canada and Mexico](the “Territory”). In consideration of the foregoing, the sufficiency of which is acknowledged by the parties, the parties agree as follows:
1. Sale and Use of Products. Distributor has agreed to, utilizing its best efforts, (i) buy the Products from Company, as listed on the attached Exhibit A (“Products”), as mutually amended by the parties from time-to-time, and resell them within the Territory; or (ii) sell the Company’s Products in the Territory for direct shipment to the customer by the Company (collectively “Sales”). Company agrees that, during the term of this Agreement, Distributor shall have the exclusive right, but not the obligation, to sell the Products in the Territory. During the term of this Agreement and for one year after any termination of this Agreement, Company agrees that it will not direct or indirectly (whether for itself or through other companies or agents whom the Company should reasonably expect would resell the Products) market, sell or distribute the Products, or any goods directly or indirectly competitive with the Products, in the Territory.
Company will periodically introduce new Products during the term of this agreement. In the event that these new products are not currently marketed by Distributor, Company will offer a 12 month ‘right of first refusal’ for these products to Distributor. If Distributor fails to actively market and reasonably demonstrate that the Distributor can develop a viable market for the new Product (or Products) under review within 12 months of introduction by Company, the new products (or Products) will be excluded from this agreement. Such new products and dates of introduction will be included in amended versions of Exhibit A as mutually agreed upon by the Company and Distributor and submitted in writing by the Company.
As part of this agreement, the Company will make the Distributor aware of all its known customers in the Territory.
2. Term. The term of this Agreement shall be for two (2) years from the date of this Agreement, with an automatic renewal for additional one (1) year periods unless either party provides the other with at least ninety (90) days written notice prior the end of the then current term. This Agreement may be terminated by either party upon thirty (30) days written notice upon a material breach of this Agreement that is not cured within such notice period. This Agreement may be terminated by Company upon thirty (30) days written notice after the end of each twelve month period commencing on the effective date of this agreement during the term of this agreement, if (i) Distributor fails to purchase at least US _____ during the initial twelve (12) month period, (ii) fails to demonstrate a projected annualized purchase rate of US _____at any time by the end of the first (12) month period or (iii) fails to purchase US _____ during the second and any consecutive twelve (12) month period. It is the intent of the parties that the first such twelve month period shall begin on the date of this agreement and terminate on the twelve (12) month anniversary date of this Agreement, with additional twelve (12) month periods being measured from such dates. The Company will utilize its best efforts to price products purchased by the Distributor such that the Distributor can distribute and sell products and meet volume requirements as outlined in this agreement.
3. Pricing and Payment. Any changes to the pricing of the Products shall require at least ninety (90) days notice, and will only be accepted by Distributor if evidence of the basis for such price increase reasonably sufficient to Distributor is provided by Company to Distributor. Payment for the Products shall be due to Company within sixty (60) days after delivery of the Products.
4. Warranty. Company expressly warrants that all goods or services furnished under this agreement shall conform to all mutually agreed upon specifications and appropriate standards, will be new, and will be free from defects in material or workmanship. Company warrants that all such goods or services will conform to any statements made on the containers or labels or advertisements for such goods, or services, and that any goods will be adequately contained, packaged, marked and labeled. Company warrants that all goods or services furnished hereunder will be merchantable, and will be safe and appropriate for the purpose for which goods or services of that kind are normally used. If Company knows or has reason to know the particular purpose for which Distributor intends to use the goods or services, Company warrants that such goods or services will be fit for such particular purpose. Company warrants that goods or services furnished will conform in all respects to samples. Inspection, test, acceptance or use of the goods or services furnished hereunder shall not affect the Company’s obligation under this warranty, and such warranties shall survive inspection, test, acceptance and use. Company’s warranty shall run to Distributor, its successors, assigns and customers, and users of products sold by Distributor. Company agrees to replace or correct defects of any goods or services not conforming to the foregoing warranty promptly (using overnight air delivery service if requested by Distributor), without expense to Distributor, when notified of such nonconformity by Distributor, provided Distributor elects to provide Company with the opportunity to do so. In the event of failure of Company to correct defects in or replace nonconforming goods or services promptly, Distributor, after reasonable notice to Company, may make such corrections or replace such goods and services and charge Company for the cost incurred by Distributor in doing so.
5. Indemnification.
5.1 Company shall reimburse, indemnify and hold Distributor harmless from and against any claims, demands, liabilities, damages, suits, judgments, losses, costs and/or expenses (including attorneys' fees and other expenses of any litigation) suffered and paid by Distributor (collectively, "Losses") that relates to or arises on account of any fault or negligence of Company, or any use or misuse of the Products by a party other than Distributor.
5.2 Distributor shall reimburse, indemnify and hold Company harmless from and against any claims, demands, liabilities, damages, suits, judgments, losses, costs and/or expenses (including attorneys' fees and other expenses of any litigation) suffered and paid by Company (collectively, "Losses") that relates to or arises on account of any fault or negligence of Distributor.
6. Miscellaneous.
6.1 This Agreement shall be governed by the laws of the state of Missouri, United States. The parties agree that any dispute arising under this Agreement shall be subject to the exclusive jurisdiction and venue of any court located within Cook County.
6.2 This Agreement, and all obligations and rights hereunder, may not be assigned or otherwise transferred by Distributor without the written consent of Company.
6.3 All of Company’s subsidiaries, branches, and affiliates are third party beneficiaries of this Agreement.
6.4 The Distributor shall make its employees, agents and representatives aware of the requirements of this Agreement and the Distributor shall be jointly and severally liable for any breaches of this Agreement by Distributor individually, or by any of its employees, agents or representatives.
6.5 Company shall consider all information furnished by Distributor (either orally or in writing) to be confidential and shall not disclose any such information to any other person, or use such information itself for any purpose other than performing this contract, unless Company obtains written permission from Distributor to do so. This paragraph shall apply to drawings, specifications, or other documents prepared by Company for Distributor in connection with this order. Company shall not advertise or publish the fact that Distributor has contracted to purchase goods from Company, nor shall any information relating to the order be disclosed without Distributor’s written permission. Unless otherwise agreed in writing, no commercial, financial or technical information disclosed in any manner or at any time by Company to Distributor shall be deemed secret or confidential and Company shall have no rights against Distributor with respect thereto except such rights as may exist under patent laws.

3、 定价及付款方式

4 保证书

公司特约条款:所有此类商品或服务,将会与集装箱或标签或广告上的陈述一致。对此类商品或服务、或任何商品将会充分的包含、封装、标记、贴好标签。
公司特约条款:所有的商品或服务、装备,都将有销路,并将为此目的保证安全、适当。此类商品或服务将会正常使用,如果公司知道或不得不知道,经销商将会用此商品或服务的特殊目的。
公司特约条款:此类商品或服务将用于特殊目的。公司特约条款:商品及服务供给与样品在各方面一致。在检查、测试、接受及使用此商品或服务时,将不影响公司的义务。公司授权给经销商及其继承者、转让人和顾客及产品的使用者。公司同意迅速的替换或改正所有产品或服务,当与上述授权不一致时 (如果经销商有要求,空运隔夜交货服务)经销商不负担相关费用。当发现不一致,由经销商提供给公司选择是否空运隔夜交货服务。如果公司拒绝迅速的改正或替换不一致的商品或服务,经销商再合理的通知公司,将会作出改正或替换服务。而因为公司的缘故导致经销商不得不如此做的情况下,经销商要收取一定的费用。
5、 赔偿
5.1经销商没有责任的,公司将支付、赔偿。反对当任何索赔、负债、赔偿金、舒适、判断、损失、代价、以及费用(包括律师费用和其他任何与诉讼有关的费用),是因公司的疏忽或错误,或任何误用产品的情形,而不是经销商的原因,由经销商(集体,赔款) 偿付,
5.2 公司没有责任的,经销商将支付、赔偿。反对当任何索赔、负债、赔偿金、舒适、判断、损失、代价、以及费用(包括律师费用和其他任何与诉讼有关的费用),是由于经销商的任何错误或疏忽或与之相关的情况、由公司(集体,赔款) 偿付,
6、 其他
6.1 此合同依照美国密苏里州法律制定。双方一致同意,如将来关于合同有任何争议,服从专属管辖权,审判地点将在库克郡内的任何法庭。
6.2在此之下的合同其所有义务和权利,没有公司的书面许可,可能将不会被经销商过户或转让。
6.3 所有公司的子公司、分部、及其附属公司是此合同的第三方受益人。

公司保证:所有的商品或服务、装备,都将是适销对路的,公司将为此类商品或服务能正常使用而保证安全、合理。如果公司知道或有权知道,经销商会将此商品或服务用于特殊目的,公司保证其将适于特殊目的。
公司保证:提供的商品及服务与样品在各方面一致。在检查、测试、接受及使用此商品或服务时,将不影响公司在此协议下的义务;当在检查、测试、接受及使用此商品或服务时,此保证继续有效。公司的保证范围将涵盖经销商及其继承者、转让人和顾客及经销商售出此产品后的使用者。当发现与上述保证不一致时,由经销商提供给公司选择是否同意及时的替换或改正所有产品或服务(如果经销商有要求,空运隔夜交货),经销商不负担相关费用。经销商在合理的通知公司后,如果公司不及时履行改正或替换不一致的商品或服务的保证,将可能由经销商作出改正或替换服务,且经销商收取因公司缘故而引起的费用。
5、 赔偿
5.1 当因公司的疏忽或错误,或任何误用产品的情形,而不是经销商的原因,引起的任何索赔、负债、赔偿金、控告、判决、损失、代价、以及费用(包括律师费用和其他任何与诉讼有关的费用),公司将支付、赔偿,而不是由经销商(集体,赔款) 偿付,
5.2 当因经销商的任何错误或疏忽或与之相关的情况,而不是公司的原因,引起的任何索赔、负债、赔偿金、控告、判决、损失、代价、以及费用(包括律师费用和其他任何与诉讼有关的费用),经销商将支付、赔偿,而不是由公司(集体,赔款) 偿付,
6、 其他
6.1 此协议依照美国密苏里州法律制定。双方同意,如将来在此协议下有任何争议,遵从专属管辖权,审判地点将在库克郡内的任何法庭。
6.2在协议之下的所有义务和权利,没有公司的书面许可,将不能被经销商过户或转让。
6.3 所有公司的子公司、分部、及其附属公司是此协议的第三方受益人。
