1. A partner is required to act as a stand-in (middle man) supplier for an essential product to my company.
2. A supplier contract will be executed by myself for this product with my partner as the supplier.
3. The product will be sourced directly from the OEM to the stand-in supplier.
4. Upon receipt of the product, the stand-in supplier will forward the shipment to my organization at the current price that my company is paying per unit.
5. The stand-in supplier shall receive a commission from net income for their role in this endeavour.

1. The product in question is being sold through an intermediary at a significant mark-up from the OEM.
2. The intermediary is planning on succession in the near future and likely will discontinue operations.
3. The margin of profit for the current intermediary is over 90 percent.
4. My company currently has a standing contract for the next 4 quarters with the current embedded intermediary price.
5. This product is an essential component to my company's processing operations.
Although this is a completely legal transaction, my current employment contract includes a clause that hinders me from becoming a direct or indirect supplier of the product.
