After discussion, Party A agrees to sell and Party B agrees to buy the commodity with terms and conditions as follows :经过商讨，A和B达成交易，条款如下：

SAY TOTAL U.S.DOLLARS FORTY-FORTY FIVE THOUSAND ONLY
With 10% more or less both in amount and quantity allowed at the seller’s option
ARTICLE 2 : PACKING
Packing and marking properly for fragile gosod in accordance with standards export packing assuring loading, discharging and transportation by land and by sea. Goods shall not be placed under others while loading.
ARTICLE 3 : SHIPMENT
Latest date of shipment:
EX Factory: On/Before Dec 5th, 2011; Ex China port within 5 days after samples confirmed
Port of Loading : China
3) Transshipment : ALLOWED
Partial shipment : not ALLOWED
ARTICLE 4 : PAYMENT
30% deposit, and the balance before delivery

ARTICLE 5 : CLAIM PROCEDURE
In case of quality discrepancy, claim should be filed by the Buyer(Party B) within 60 days after the arrival of the goods at port of destination, while for quantity discrepancy, claim should be filed by the Buyer(Party B) within 45 days after the arrival of the goods at port of destination . In all case, claims must be accompanied by Inspection Certificate issued by Inspection Bureau accepted by both parties. Should the responsibility of the subject under claim be found to rest on the part of the seller, the seller shall, within 20 days after receipt of the claim, send his reply to the Buyer together with suggestion for settlement.
ARTICLE 6 : FORCE MAJEURE
The Seller shall not hold responsibility for delivery of non-delivery of the good due to force majeure. However in such case, the seller shall submit to the buyer a certificate issued by China Council for the promotion of Internationl trade of another competent organization as evidence thereof.
ARTICLE 7:
Within 2 days the Buyer is requested to sign and return on e copy of this contract immediately after receipt. Objection, if any, should be raised by the Buyer after the receipt of this contract, in the absence of which it is understood that the Buyer has accepted the terms and conditions of the contract
ARTICLE 8 : ARBITRATION
All disputes arising from and in connection with the execution of this contract will be settled by the two sides in the spirit of amicable agreement. Should it be impossible to solve such a dispute, the claim may be referred to the AMERICAN ARBITRATION ASSOCIATION. If any party does not agree with the Arbitration awards, the case shall be finally settled by China International Economic and Trade Arbitration commission the International Arbitration, whose decisions will be regarded as final and binding to both parties.
