突尼斯客户的一份合同的一些内容不是很确定，想请大虾们给俺分析一下，在此O(∩_∩)O谢谢了~~~ARTICLE TWELVE: Payment conditions:
The total cost pertaining to the contract will be paid by an irrevocable and confirmed letter of credit, the letter of credit shall be confirmed by, and with transfer of funds through the selected supplier's bank
Forty per cent (40%) of the amount of each delivery after the presentation of the following documents:
其中包括 A copy of AWB or The bill of loading established obligatorily in the name of the buyer
请问这个指的是提单的consignee必须是以客户的抬头吗？记名还是指示呢？
Sixty per cent (60%) of the amount of each delivery dischargeable at delivery in Tunisia shall be released against a provisional delivery certificate within a period of 45 days starting from the date of reception of goods in Tunisia.??
付款方式是不可撤销的保兑信用证！
40%的在收到以下单据后付款，60%的款项在客户收到货物后45天付款吗？？
ARTICLE SEVENTEEN: Costs, taxes, stamp and others:
Any bank charges, taxes, stamp and other costs related to the contract and payable in Tunisia to be supported by the Buyer, except the bank charges due to the Supplier.??
银行付款都要卖方出嘛？ 我是不是要跟客户提出我们只负责我们国家所产生的银行费用呢？
ARTICLE EIGHTEEN: Performance bond:
A – Bid bond:
The candidate agrees to deliver an irrevocable bank guarantee issued by the seller’s bank and guaranteed by a Tunisian bank, equivalent to the amount of one thousand five hundred euros, which validity must cover the period of six months starting from the ultimate date fixed to receive tenders.??
参选人同意递送卖方与突尼斯银行发行与担保的不可撤销保证金，相当于1500欧元，有效期覆盖是6个月从开始到收到投标后的截止日
B – Surety – bond:
The selected supplier agrees to deliver an irrevocable bank guarantee issued by the seller’s bank equivalent to five percent (05%) of the total amount of the deal in order to guarantee the proper carrying out of the present deal and to cover equipment guarantee.
This bond will be released after the expiration of a period of 12 months, in case the supplier fulfilled all his obligations rising from subject contract.
供货芳同意递送不可撤销的货物5%的保证金以保证执行现有的交易。保证金的退还将会在12月的终止期，以保证供货方实现合同中所履行的义务
The opening of the credit letter is to be done as soon as the Buyer gets the exoneration for the goods described in the contract and the receipt of the performance bond stipulated in article(18).
信用证的发行将会在买方收到如合同描述的货物与规定的履约保证金？？

信用证将在买方收到货物及第18条下规定的履约保证金后立即开出。
note: “exoneration for the goods” 表达有误或不清楚，推测为卖方交货而免除其交货义务的意思。
Exoneration 的意思是使免受指控、证明无罪/没有责任、免除。后面加个for这种表达方式不对，应该用of； 而且这个词在表达免除责任的意思时仅能用于指免除人的责任。

这个合同很专业，确实很有难度。
第17款的费用问题，是合理的。
大概意思是：除了由于供应商哪边产生的银行费用由供应商负担外，其余的银行费用、税收、突尼斯这边的银行电汇费用，以及和合同订立有关的其他费用，由买方承担。

按照字面意思，好像是这样的： 60%的款项在货到突尼斯后45天内，凭临时交货证明付款。也就是说拿到临时交货证明后，马上可以要求银行付款。
