在国外找了个代理，今天发来个协议，有一条是这样写的，大家帮我看看，准确的意思是神马？1st Party agrees to pay the 2nd Party commission of 5% (Five Percent) on the FOB value of the contract and the payment of this commission shall be made to 2nd Party’s designated account within 30 (Thirty) days from the date of receipt of full & final payment by the 1st Party from its customers towards sale price of the products excluding any retention money agreed upon at the time of
accepting the order.
For certain special cases, if both parties agree for an agency commission in variation with the rates mentioned under Clause 4, such ‘Special Agreement’ shall be agreed to and signed by the two parties in two originals. One original shall be retained by each party. The “Special Agreement” shall be considered to supersede the “Agency Agreement” signed between the two parties.

根据接单时双方同意不扣除保留金，甲方同意在收到客人购买产品款项的全款&最后笔款项的收据日期开始30天内支付FOB合同金额的5%作为佣金到乙方指定账户。
在特定情况下，假如双方按照条款4所声明同意代理佣金能够有所浮动，那么该特殊协议需要双方签字，一式两份。双方各保留一份。该特殊协议将取代双方签订的代理协议。
