All Orders are subject to and shall be deemed to incorporate the Conditions which shall form part of the Contract to the exclusion of any terms and conditions which the Supplier may seek to impose under any quotation, confirmation of order, delivery note, invoice or similar document. Delivery of the Goods or any other conduct of the Supplier pursuant to the Order shall be deemed to be unqualified acceptance by the Supplier of the Conditions. Variations to the terms of any Contract will only be effective if agreed in writing and signed by the Buying Director of the Company.
2. Delivery
a) The Goods shall be delivered at the place and on the date or within the period stated in the Order or if not specified in the Order as notified to the Seller whether in the Direct Despatch Manual or otherwise (the terms of such notification shall be incorporated as terms of the Contract, in the event of a dispute between the Conditions and the contents of the Direct Despatch Manual or other notification then the Conditions shall prevail). The Supplier shall deliver the Goods during the Company’s normal working hours. The Supplier shall contact the Company when the Goods are ready for delivery and shall make a delivery appointment through the Company's telephone booking in procedure.
b) The Supplier acknowledges that the Direct Despatch Manual and the Quality Control/Packaging Manual shall at all times remain the sole and exclusive property of the Company and that it shall be used only for the purposes of the Contract and that the copyright in the Direct Despatch Manual and the Quality Control/Packaging Manual vests in the Company. The Supplier shall immediately return (at its own cost) the Direct Despatch Manual and the Quality Control/Packaging Manual if so requested by the Company (whether orally or in writing).
c) If so requested by the Company, all Goods shall be accompanied by a Product Test Certificate the terms of which shall be incorporated as terms of the Contract (in the event of a dispute between the Conditions and the contents of the Product Test Certificate then the Conditions shall prevail).
d) Time for delivery of the Goods shall be of the essence. Failure by the Supplier to meet delivery dates shall entitle the Company to terminate the Contract and to claim for all losses (including but not limited to consequential loss), costs, damages charges and expenses incurred by the Company as a result of such termination.
e) If, for any reason, the Company is unable to take delivery of the Goods on or after the due date for delivery the Supplier shall, at its expense, store or arrange for the storage of the Goods for a reasonable time and shall safeguard the Goods and take all reasonable steps to prevent their deterioration until their actual delivery.
f) The Company's "booked in" quantity shall be conclusive evidence of the quantity received by the Company unless contrary evidence is provided by the Supplier. Any shortages in the Goods shall be notified to the Supplier by the Company and shall be made good by the Supplier within 3 working days of such notification.
g) All deliveries must conform to all requirements as set out in the Quality Control and Packaging Manual (the terms of which shall be incorporated as terms of the Contract, in the event of a dispute between the Conditions and the contents of the Quality Control and Packaging Manual then the Conditions shall prevail).
