The parties acknowledge that the terms and conditions between them are those stated in this Agreement and that there are no other terms or provisions that apply. Any modification or change to these terms and conditions must be by a written Addendum signed by each party. Additionally, no failure or delay (in whole or in part) on the part of either party to exercise any right or remedy hereunder shall impair the ability to later exercise any such right or remedy, operate as a waiver thereof, or affect any other rights or remedies, that may be available under the law or in equity.评论

当事人需要认识到他们之间通过协议确定的这些条款规定是没有其他的条款可以适用的。任何对这些条款的修改或改变都必须要通过附录，并且由一方当事人签字。此外，由于一方当事人导致的整体或者部分的失败或延误，从而导致后来权利或修改执行能力的削弱，或是充当弃权者，影响到其他权利和修改的，其他当事人可以根据法律或者用衡平法。
