三． 付款方式1. 甲乙双方签订协议意向后乙方付定金 USD70,000给甲方
2. 甲方将主要设备拆卸，修整，油漆，在15-JUN-2013前乙方支付二期货款美金
USD210,000.00
3. 货柜装柜前，乙方支付USD200,000.00，甲方即装箱出货。
4. 机械设备到越南安装调试验收后，乙方在15日内付清USD46,580.00尾款
各方责任
1. 甲方收到第一期定金后，开始拆卸设备，并承诺在50天内完成主要的设备的维护，油漆等工作
2. 甲方收到定金10天内将提供主要设备的安装基础图
3. 甲方派工程人员指导乙方安装设备，工程人员在越南当地的饮食，住宿费用由乙方承担。
4. 设备到达乙方目的地后，甲方指导乙方安装调试机械设备。有关安装按照技术导致所产生的管路，电路等一切费用由乙方承担，
5. 甲方在设备装柜时前通知乙方派人验收，乙方付第三期货款
6. 办理机台设备调试完成后，所发生是一切事项均由乙方自负与甲方无关

三. Payment Terms
1. Party B pay the deposit USD 70, 000 to party A after the signature of the agreement by both parties.
2. After the deposit, party A should disassemble, repair and paint the main equipments. Party B should pay USD 210, 000 to party A before 15-JUN-2013.
3. Party A shall pay party B USD 200, 000 before the shipment.
4. Final payment, USD46, 580, should be paid within 15 days since the machinery was installed, debuged, checked and accepted in Vietnam.
四. Attribution of Liability
1. After the deposit, party A should disassemble, repair and paint the main equipments within 50 days.
2. After the deposit, party A should provide foundation drawings for main equipment installation within 10 days.
3. Party A send engineers to Vietnam to guide party B to install the equipment. The diet and lodging costs of the engineers in Vietnam were borne by party B.
4. Party A guide party B to install the equipment after the equipment arrived at the destination. During the installation process, all costs that produced by the technology shall be borne by party B, including the line cost, circui cost and so on.
5. Party A shall inform party B to examine the equipment before loading, party B should pay the third paragraph futures after the acceptance.
6. Party A responsiblity is termination after the equipment debugging completed.

Terms of Payment
1.After the signed of the contract both Party A and Party B,Party B should pay USD 70.000 deposit to Party A.
2.Party A dismantle,repair and paint the main equipment ,then Party B should pay USD210,000.00 which the second phase of payment before 15-JUN-2013.
3.Upon Party B pay for USD210,000.00, Party A should effect the shipment .
4.After the mechanical equipment been installed and debugged after acceptance in Vietnam,Party B should pay the balance of USD46,580.00 within 15 days.
