1.        For purposes of this Agreement, "Confidential Material" shall mean all information disclosed to the Receiving Party from the Disclosing Party.  All Confidential Material disclosed shall be considered information which is proprietary or confidential or constitutes information falling within the terms of this Agreement.  All written Confidential Material furnished to the Receiving Party is and will be the property of the Disclosing Party and shall be returned by the Receiving Party to the Disclosing Party upon request.

No trade secret, copyright, or other right is granted to the Receiving Party by this Agreement or by any disclosure of Confidential Material hereunder.  

2.   The Receiving Party does not consider itself a member of the general public for the purpose of receiving the Confidential Material and shall hold disclosure of Confidential Material in confidence, disclosing to its employees and agents such Confidential Material only to the extent necessary to fulfill the intent of the Business Relationship and the terms of this Agreement. This provision does not apply to Confidential Material which:
a) is or becomes publicly available through no fault of the Receiving Party;
b) is released by the Disclosing Party in a public release; (c) is lawfully obtained from third parties which did not receive such information directly or indirectly from the Disclosing Party; or
(d) is previously known or developed independently of the Disclosing Party without knowledge of the Confidential Material.  Exceptions (a) through (d) shall not be interpreted by the Receiving Party as justification to disregard the Agreements of confidence set forth in this Agreement merely because individual portions of the Confidential Material may be found to be within the exceptions, or because the Confidential Material is implied by but not specifically disclosed in information falling within the exceptions.


3.  The Receiving Party will not make, have made, use, sell, release or disclose for its own purposes any of the Confidential Material unless specifically authorized by the Disclosing Party in writing.  If the Receiving Party is requested or required by any authority (as by subpoena, discovery request, inquiry by governmental agency or any other process) to disclose any Confidential material, the Receiving Party agrees to provide the Disclosing Party immediately, prior to any actions in respect with such request(s), with written notice of such request(s) so that the Disclosing Party may seek a protective order and/or waive the Receiving Party’s compliance with this Agreement with regard to such Confidential Material.


4. With respect to this Agreement and any information supplied in connection with this Agreement the Receiving Party agrees to protect the Confidential Material in a reasonable and appropriate manner in accordance with applicable professional standards.

5.  The Disclosing Party may request at any time within the term of this Agreement that the Receiving Party:
(i) return any original copies of Confidential Material previously provided to the Receiving Party;
(ii) destroy any hard copies or electronic copies of Confidential Material held by the Receiving Party.

Request to return and/or destroy copies of Confidential Material shall be provided in writing to the Receiving Party by the Disclosing Party not later than twenty (20) days prior to the proposed date of return and/or destruction.

6.     Although the Receiving Party understands that the Disclosing Party has endeavored to include in the Confidential Material information known to it which the Disclosing Party believes is relevant for the Receiving Party’s purposes, the Receiving Party further understands and agrees that the Disclosing Party does not make any representation or warranty as to the accuracy or completeness of the Confidential Material.  The Receiving Party agrees that neither the Disclosing Party nor its representatives shall have any liability to the Receiving Party, its representatives or any other person resulting from the use of the Confidential Material.


7.    The Receiving Party acknowledges and agrees that a breach by the Receiving Party or its representatives of this Agreement would result in irreparable harm to the Disclosing Party, the extent of which would be difficult to ascertain, and, in any event, money damages would be an inadequate remedy in the event of such a breach.  Accordingly, the Disclosing Party shall be entitled to specific performance and injunctive or such other equitable relief as a court may deem appropriate in the event of such a breach. Such remedies shall not be deemed to be exclusive, but shall be in addition to all other remedies available at law or in equity to the Disclosing Party.

8.    The Receiving Party hereby agrees to indemnify, defend and hold harmless the Disclosing Party and its representatives from any damages (including any attorneys' fees) incurred by the Disclosing Party as a result of any unauthorized disclosure or use of any Confidential Material by the Receiving Party.  If the Disclosing Party or any of its representatives institutes any proceedings to enforce its rights, or the obligations of the Receiving Party hereunder, the Disclosing Party shall be entitled to recover (in addition to any other recovery to which it shall be entitled) its reasonable costs and expenses (including, without limitation, its mandatory legal fees and expenses) incurred in connection with any such proceeding.


9. All notices, requests and approvals under this Agreement shall be in writing and shall be deemed to have been properly given if and when personally delivered or sent certified mail, postage prepaid, return receipt requested, to the address of the Party set forth above or at such other address as any of the Parties hereto from time to time may have designated by written notice to the other Party.

10. Neither Party shall use the other Party’s name, trademarks and/or
logo without prior written consent of such Party.

11. Neither Party shall assign its rights and/or liabilities hereunder without prior written consent of the other Party.  

12. This Agreement shall survive the Business Relationship for a
period of five years. The Receiving Party agrees to hold the Confidential Material in trust and confidence for the Disclosing Party and will not use it other than for the benefit of the Disclosing Party.


13. This Agreement shall be governed by the laws of the Russian Federation, without reference to conflicts of laws principles, and there are no understandings, agreements, or representations, expressed or implied, not specified herein. This Agreement is executed in two counterparts, one copy for each Party, each of which shall be an original.  

One or more counterparts of this Agreement may be delivered by facsimile, with the intention that they shall have the same effect as an original counterpart hereof.

14. This Agreement constitutes the full and entire understanding of the Parties with respect to the subject matter hereof and any amendments, modifications or alterations shall be binding only if made in writing signed by a duly authorized official of each Party.  If any provision hereof is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be deemed not to be a part of the Agreement to the extent of such invalidity or unenforceability, and the remainder of the Agreement shall remain unaffected.
Any negotiations and correspondence about the subject or terms of this Agreement which took place prior to its signing by the Parties becomes invalid after this Agreement comes into force.
15. This Agreement is governed by and shall be interpreted in compliance with the material Federal Swiss Code of the Obligations, excluding the United Nations Organization Convention On Contracts For The International Sale Of Goods (Vienna, April 11, 1980).

The Seller and the Buyer hereby agree to attempt to resolve through negotiation any and all disputes between them arising out of or in connection with this Agreement. However, if a Party decides not to pursue negotiations any longer, said dispute shall be finally settled by the competent court of Geneva (Switzerland)

If the Proprietary Information is embodied in tangible material (including without limitation, software, hardware, drawings, graphs, charts, disks, tapes, prototypes and samples) it shall be labeled as “Proprietary” or “Confidential” on its delivery.

The results of tests performed with samples supplied by the Disclosing Party, and the fact that the Parties have entered into a commercial relationship shall also be con¬sidered as Proprietary Information as well as samples which are produced on behalf of either party.

Furthermore, information which becomes accessible to one party when visually inspecting plants or facilities of the other party is also deemed to be Proprietary Information and is therefore subject to the confidentiality obligations under this Agreement.

1.2         For the avoidance of any doubt, it is agreed that the provisions of this Agreement shall apply to any of the Proprietary Information which has been disclosed by the Parties to each other prior to the date of this Agreement but in anticipation thereof.

2.1         Each party agrees to keep confidential all Proprietary Information received from the other Party. The Receiving Party shall retain Proprietary Information in strict¬est confidence and shall not make it accessible to any third party. This also applies with regard to copies of any such Proprietary Information.

2.2         Only those employees, staff, agents or consultants (collectively referred to as “Representatives”) of the Receiving Party shall have access to the Proprie¬tary Information, who will require knowledge of such Proprietary Information for the Purpose contemplated by this Agreement. The Receiving Party shall also ob¬ligate its Representatives to enter into equivalent obligations of confidentiality.

3.        Use of Proprietary Information

3.1         Proprietary Information shall not be used by the Receiving Party for any pur¬poses other than the Purpose contemplated by this Agreement. Proprietary Information shall not be utilized commercially or as intellectual property in any form, either directly or indirectly, as a whole or in part.
           接收方不得为本协议规定之外的目的而使用专有信息。专有信息不得作为商业用途,或是以任何知识产权形式,直接或间接,完整或部分的使用。

3.2         No other authorization and no other rights or licenses to use the Proprietary In¬formation are given or granted hereunder and the Receiving Party shall make no such use of Proprietary Information received.
          如专有信息的使用未给予或授予任何其他授权、权利或许可,接收方不得对收到的专有信息进行任何该等使用。

3.3   In order to enable the communication of Proprietary Information during mutual discussions between the parties to be retraced, the names of the participants in the discussions, the content of the discussions and the documents handed over for each mutual discussion which takes place shall be stipulated as indications in records in accordance with the annex/annexes and shall be signed at the end of the mutual discussions by the participants in the discussions. However, records which have not been filled in or have not been filled in their entirety do not release a party from the obligation to maintain confidentiality.

4.        Limitations to obligation of Confidentiality

The obligation of confidentiality imposed by this Agreement shall not apply to Proprietary Information which as can be demonstrated based on written records

a)         at the time of its disclosure by the Disclosing Party was, or thereafter be¬comes part of the public domain through no wrongful act of the Receiving Party;

b)         was in the possession of, or was known to the Receiving Party prior to its disclosure by the Disclosing Party or a company associated with it, and was obtained by or disclosed to the Receiving Party without violation of an obli¬gation of confidentiality by the disclosing third party;
                 在披露方或其关联公司披露前,接收方取得的或第三披露方未违反保密义务而披露给接收方,从而为接收方所占有或知悉的信息;
c)         subsequent to its disclosure is obtained by, or disclosed to the Receiving Party by an entity other than an associated company of the Disclosing Party and without violation of an obligation of confidentiality by the disclosing third party;

d)         the Receiving Party develops independently without the benefit of the Proprietary  Information received from the Disclosing Party, as can be shown by written records;

e)        has been passed on to third parties with the prior written consent of the Disclosing Party; or

Proprietary information shall not be deemed to be within the exceptions of the above merely because it is embraced by more general information within such exceptions, nor shall a combination of features be deemed to be within such ex¬ceptions merely because the individual features are within such exceptions, ex¬cept where the combination of features as a whole is within the exception.

5.        Rights to Proprietary Information

5.1         All Proprietary Information supplied under this Agreement shall remain the prop¬erty of the Disclosing Party.

5.2         The Disclosing party reserves the right to apply for intellectual property rights for the Proprietary Information communicated to the Receiving party. The disclosure of Proprietary Information does not include any right for the Receiving Party to apply for intellectual property rights therefrom.
披露方有权为传达给接受方的专有信息申请知识产权。专有信息的披露不包括接收方可以因此申请知识产权的权利。

5.3         No right or license to use trade secrets or any patent, copyright or trademark of either party is granted by this Agreement.

5.4         Nothing in this Agreement shall restrict the Disclosing Party from using, licens¬ing, disclosing or disseminating its own Proprietary Information in any way.

5.5         Moreover, the Receiving Party shall not have any priority rights over the use of the knowledge arising from the Proprietary Information disclosed hereunder.

5.6         This Agreement does not constitute any obligations on the parties to enter into a cooperation and/or business relationship and/or to disclose specific information.

6.        Return of Proprietary Information

Upon request of the Disclosing Party, the Receiving Party shall return to the Dis¬closing Party all Proprietary Information received in writing or other tangible form, as well as all copies made thereof in accordance with Section 2 of this Agreement. However, the receiving party may retain one copy for the purpose of preservation of evidence and shall be held in compliance with the terms of this Agreement. The request for returning Proprietary Information must be addressed within a period of three (3) years after the termination of this Agreement。.
经披露方的要求,接收方应将书面或其他有形形式获得的专有信息,及本协议第2节规定的所有复印件归还给披露方。然而,接收方可以保留证据的目的保存一份目的复印件;并在符合本协议的条款下保存该复印件。归还专有信息的要求必须在本协议终止后3年内作出。

7.        Miscellaneous

7.1         This agreement comes into force on the Effective Date and is valid for a period of two (2) years. Despite of this, the obligation to maintain confidentiality and the prohibition on exploitation of Proprietary Information received during the term of this Agreement remain in force for a period of three (3) years after the termination of this Agreement.

7.2         Affiliated companies of a party are no third parties within the meaning of this Agreement; they may be informed of the content of the discussions and may if required take an active part in the discussions and/or be consulted with respect to questions and approaches to solutions. The parties shall ensure and are liable for ensuring that the provisions in this Agreement also apply to information which is provided or received by the affiliated companies. As used in this agreement, “affiliated company” of a Party means an entity that either directly or indirectly controls, is controlled by, or is under common control with such party, where “control” means ownership of all or a majority of the outstanding capital stock or other equity interests with voting rights of the controlled entity.

7.3         Additional oral agreements do not exist. Any modifications and amendments to this Agreement, including this clause, must be made in writing and signed by all Parties.

7.4         This Agreement is governed by and shall be construed in accordance with the law of People’s Republic of China.

7.5         In case any dispute, controversy or claim arising out of or in relation to this Agreement, cannot be settled through consultations, these disputes, controversies or claims shall be settled solely by arbitration (in exclusion of the competent jurisdiction) at the China International Economic Trade Arbitration Commission, Shanghai Branch by an arbitral tribunal consisting of three (3) arbitrators in accordance with its Rules of Arbitration as then in force. The arbitral award shall be final and binding on the Parties to this Agreement.
如果因本协议引起的或者与本协议有关的任何争端、争论或者主张不能通过友好协商的方式解决,该等争端、争议或者主张仅能通过仲裁解决(排除有管辖权的法院),且应当提交中国国际经济贸易仲裁委员会上海分会,仲裁庭应由三名仲裁员组成,并按照申请仲裁时该会有效的仲裁规则进行仲裁。仲裁裁决是终局的,对本协议双方均有约束力。
The costs of arbitration shall be borne by the losing Party except as otherwise fixed by the arbitral tribunal. The Parties agree that, if it becomes necessary for a Party to enforce an arbitral award by legal action or any kind, the Party against which such legal action is taken shall pay all reasonable costs and expenses and attorneys’ fees, including but not limited to any cost of additional litigation or arbitration incurred by the Party seeking to enforce the award.
仲裁费用由败诉方承担,除非仲裁庭另有决定。双方同意,如一方需要通过法律行动或其他行动执行仲裁裁决,被执行方应支付合理的费用和律师费,包括但不限于为了执行裁决而发生的其他诉讼或仲裁费。

7.6         Neither Party shall be entitled to assign the rights and obligations under this Agreement to any third party.

7.7         In case a provision of this Agreement is or becomes void or unenforceable, the Parties agree that this will not affect the validity of the remaining provisions of this Agreement. The Parties further agree to replace such a void or unenforce¬able provision with a valid and enforceable one, which will - to the extent pos¬sible - achieve the business, economic and other purposes of the void and un¬enforceable provision.
         双方同意,本协议的某一条款无效或无法执行,并不影响本协议其他条款的效力。双方进一步同意以在可能的范围内能够达到与无效或无法执行的条款相同的商业、经济或其他目的的有效且可执行的条款替换该无效或无法执行的条款。

7.8        This Agreement is written in English and Chinese. In case of any discrepancy or conflict between English and Chinese versions, the Chinese version shall prevail.
本协议以中英文书写。如果中英文版本之间出现任何不一致或冲突,以中文版为准。

4。与本协议有关的或与本协议有关的接受方同意在一个合理的符合专业标准的方式保护机密资料提供的任何信息。

10。任何一方不得将对方的名称,商标和/或标志未经事先书面同意,该方。
11。任何一方不得转让其权利或责任未经另一方事先书面同意,本协议。
