6. Quality of the Goods6.1 The goods must satisfy the technical characteristics stipulated by the manufacturer, and be new and unused.
6.2. The Seller certifies the quality of the delivered goods with the quality certificate.
6.3. The Seller bears responsibility for all shortage and defects of the goods which arose after its transfer to the Buyer if the cause of the shortage and defects existed before this transfer.
6.5. Order and terms of presenting claims on substandard quality, shortage etc.:
The Buyer is obliged to notify the Seller in writing and the Seller is obliged within 5 (five) working day after having received the claim to inform in writing about it’s intention to send a representative to consider the claims, date of arrival to draw up and sign a report.
In case of non-appearance of the Seller’s representative or non-receipt of the reply in time specified above, the Buyer invites a representative of the Chamber of Commerce of the Republic of Belarus to consider claims and draw up a report.
6.6. The Buyer who has duly informed the Seller on the discovered defects of the goods may demand for the Seller to eliminate the defects during the time specified in the claim if they are disposable or require the final adjustment of the goods to the adequate quality at the Seller's expense. In case the Seller refuses to eliminate the defects or accept the goods back, the Buyer is entitled to dissolve this Contract unilaterally.
7. Liability
7.1. In case of non-fulfillment or improper fulfillment by the Party of its obligations under the present Contract, the Party shall reimburse to the other Party the damage suffered.
7.2. In case of breach of terms of delivery the Seller pays to the Buyer fine equal to 2 % of value of nondelivered in time Goods for each day of delay.
8. Force-major
8.1. The Parties are relieved of responsibility for partial or complete nonfulfilment of their obligations under the present Contract due to force-major circumstances: fire, floods, earthquake, war, military actions of any kind, blockade, embargo on exports or imports as well as any other circumstances beyond the control of the Parties, and if such circumstances affected directly the fulfillment of the present Contract. In such case the time stipulated for the fulfillment of the obligations under the Contract shall be extended for the period equal to that during which such circumstances and their consequences will remain in force.
8.2. In order to be relieved from liability for failure of timely obligations performance notice must be given to the other Party within ten days after force major circumstances arise. Should one of the Parties fail to notify the other Party of force major circumstances in due time it is deprived of the right to refer to them in future.
8.3. The occurrence of force major circumstances is confirmed by a Certificate issued by the Chamber of Commerce of the country of the Party to which it becomes impossible to fulfill its obligations under the present Contract.
8.4. If the above circumstances and their consequences continue for more than thirty days, each Party shall the right to refuse the further fulfillment of its obligations under the present Contract, and neither of the Parties shall have the right to call for the compensation of any possible losses.
