小弟今日接触到一个客人，客人发给我的合同我些担心有对我们不利的条款，故请各位看下一下条款你们怎么理解。1. Delivery of the goods in case of an advance payment is made by the Seller within 120 days from the date of receipt of means for the settlement account of the Seller.
2. Delivery date is considered date of crossing the Goods of customs frontier of the U.S.A.
3. Refusal Seller of representation to Buyer the originals of documents is the basis for refusal of the goods and its payment.
4. Replacement of the poor-quality Goods is carried out in the presence of the similar ¬ Goods in a warehouse of the Supplier.
5. Payment penal does not release the party, guilty of infringement of contract ¬ obligations, from execution of those obligations.
6. Any dispute arising under the present contract or in connection with it, including any question concerning its existence, the validity or ¬ the termination, is subject to transfer on consideration and the definitive permission in ¬ arbitration according to Regulations of the London International Arbitration court with what ¬ the Regulations as a result of the reference to it are considered a part of present article.
7. Present Contract, no less than supplementary agreements (appendices ¬ and so on) to it can be concluded by drawing up of one document signed by the parties。
8. Party recognize, that documents and other information which the Parties will exchange within the limits of the present Contract, including with draught on funds of a fax communication, a beam coupling, will admit by the Parties as proofs along with other proofs by consideration of the disputes arising inter parties from the present Contract or in connection with it.
9. Contract operates from the moment of signing by the parties till December, 30ty, 2015, but in any case before execution by the parties of contract
